1. Acceptance of Terms

By accessing or using the Orviyo website or any of our services, you confirm that:

• You are at least 18 years of age
• You have read, understood, and agree to be bound by these Terms & Conditions
• If you are acting on behalf of a business or organisation, you have the legal authority to bind that entity to these Terms
• You will comply with all applicable local, national, and international laws and regulations

If you do not agree with any part of these Terms, please discontinue use of our website and services immediately. Your continued use of our website after any changes to these Terms constitutes acceptance of the revised Terms.

2. Our Services

Orviyo is an AI-powered business automation platform. We provide services to help businesses automate customer communication, manage leads, and streamline appointment booking. Our core service offerings include:

• AI Customer Communication — context-aware AI that handles customer inquiries, answers FAQs, and escalates complex queries across WhatsApp, website chat, email, and other channels.
• Messaging automation — automated messaging workflows, lead qualification, and customer engagement via your chosen messaging channel.
• Lead Capture & Management — automated identification, qualification, and routing of high-intent prospects to your sales team.
• Appointment & Booking Automation — real-time scheduling, confirmation, and calendar synchronisation for consultations, viewings, and appointments.
• Analytics & Reporting — performance dashboards tracking response rates, lead conversion, booking trends, and customer satisfaction.
• Consultation & Onboarding — free initial consultation, custom AI configuration, and dedicated onboarding support.

Service availability, features, pricing, and specifications are subject to change. We will provide reasonable advance notice of material changes to active clients. Orviyo reserves the right to modify, suspend, or discontinue any service at any time, with or without notice, though we will always act reasonably and in good faith.

3. Consultation Terms

Orviyo offers a free 30-minute consultation to prospective clients. By booking a consultation, you agree to the following:

• No obligation — the free consultation does not create any contractual obligation to purchase or subscribe to any Orviyo service.
• Accurate information — you agree to provide accurate and truthful information about your business, requirements, and contact details when submitting a consultation request.
• Scheduling — consultations are subject to availability. We will contact you within 2 hours of your request to confirm a time. If you need to reschedule, please notify us at least 2 hours in advance.
• Confidentiality — information shared during a consultation is treated as confidential by Orviyo and will not be shared with third parties without your consent.
• No guarantee of outcomes — the consultation is informational in nature. Any projections, estimates, or examples discussed during the consultation are illustrative only and do not constitute a guarantee of results.

If you proceed to become an Orviyo client following a consultation, a separate service agreement will govern the terms of that engagement.

4. Acceptable Use

You may use our website and services only for lawful purposes and in accordance with these Terms. You agree not to use our services to:

• Violate any applicable local, national, or international law or regulation
• Send spam, unsolicited bulk messages, or engage in any form of deceptive communication
• Harass, abuse, threaten, or harm any individual or group
• Infringe on the intellectual property rights, privacy rights, or other rights of any third party
• Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorised access to our systems, servers, databases, or networks
• Introduce viruses, malware, or any other malicious code into our systems
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of our platform
• Use our platform to build a competing product or service
• Scrape, crawl, or systematically extract data from our website without our written permission
• Impersonate Orviyo, our team members, or any other person or entity

We reserve the right to investigate any suspected violation of these terms and to take appropriate action, including suspending or terminating access to our services, reporting to law enforcement, or pursuing legal remedies.

5. Intellectual Property

All content on the Orviyo website and platform — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the exclusive property of Orviyo Technologies and is protected by applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our website for personal, non-commercial purposes. This licence does not include the right to:

• Reproduce, distribute, or publicly display any content from our website
• Modify or create derivative works based on our content
• Use our brand name, logo, or trademarks without our express written permission
• Use our content for any commercial purpose without a separate written agreement

The Orviyo name, logo, and all related product and service names, design marks, and slogans are trademarks of Orviyo Technologies. You may not use these marks without our prior written consent.

6. Client Data & Content

You retain full ownership of all data, content, and information you provide to Orviyo in connection with our services ("Client Data"). By providing Client Data to us, you grant Orviyo a limited, non-exclusive licence to use, process, and store that data solely for the purpose of delivering our services to you.

We will not use your Client Data for any purpose other than providing and improving our services to you. We will not sell, share, or disclose your Client Data to third parties except as described in our Privacy Policy or as required by law.

You are responsible for ensuring that any Client Data you provide to us does not infringe on the rights of any third party and complies with all applicable laws, including data protection regulations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Orviyo Technologies, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from unauthorised access to or alteration of your data
• Damages resulting from the conduct of any third party using our services
• Damages resulting from any interruption or cessation of our services

In all cases, our total aggregate liability to you for any claim arising from or related to these Terms or your use of our services shall not exceed the total amount you paid to Orviyo in the three (3) calendar months immediately preceding the event giving rise to the claim, or INR 5,000 (whichever is greater).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

8. Warranties & Disclaimers

Our website and services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Orviyo expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our services will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any information on our website
• Warranties that defects in our services will be corrected

We do not warrant or guarantee any specific business outcomes, revenue increases, lead conversion rates, or other results from using our AI automation services. Results will vary depending on your industry, business model, implementation quality, and other factors outside our control.

Any content downloaded or otherwise obtained through the use of our services is done at your own discretion and risk.

9. Termination

Either party may terminate the service relationship at any time, for any reason, with reasonable notice.

Termination by you: You may stop using our website at any time. If you are an active client, you may terminate your service agreement by providing written notice to orviyotech@gmail.com. Termination terms specific to your service plan will be outlined in your service agreement.

Termination by Orviyo: We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law or a regulatory authority
• We reasonably believe your use of our services poses a risk to other users, third parties, or our systems
• You engage in fraudulent, abusive, or illegal activity

Effect of termination: Upon termination, your right to use our services ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

10. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. Please contact us at orviyotech@gmail.com to initiate this process.

If the dispute cannot be resolved through negotiation within 30 days, it shall be subject to the exclusive jurisdiction of the competent courts in Sindhudurg, Maharashtra, India. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in Sindhudurg.

11. Modifications to Terms

Orviyo reserves the right to modify these Terms & Conditions at any time. We will notify you of significant changes by:

• Updating the "Last updated" date at the top of this page
• Posting the revised Terms on this page
• For active clients, sending an email notification at least 14 days before material changes take effect

Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using our services before the changes take effect.
